Arquan Affiliate Partner Agreement
	
								In this agreement, "we", "us", "our", or "The Company" refers to Arquan and "you" or "Affiliate Partner" refers to the applicant.
								
								This Agreement governs the Affiliate Partner Agreement that you (the Applicant) are entering into with us (Arquan).  
								
								By signing up for our Affiliate Partner Program, you agree to the terms specified in this agreement.  Failure to comply with the terms specified may result in your Affiliate Partnership status and possible forfeiture of unpaid commissions.
								
								
								1.	Application for the Affiliate Partner Program
								
								Arquan will review your web site and your application following submission to determine suitability for the Affiliate Program. Arquan reserves the right at its sole discretion to accept or deny any application submitted. You will be notified in writing of Arquan's acceptance or denial of your application.  We may also terminate this Agreement at any time after you are accepted into the program if we feel that your Partnership is deemed to be unsuitable.
								
								
								2.	Affiliate Program Acceptance
								
								If you are accepted into the Partner Affiliate Program, you will be notified in writing, as well as provided with a Marketing Welcome Kit.  The Marketing Welcome Kit will contain artwork, graphics, and a partner link for displaying the Arquan Partner logo on your web site, and sample content that you are free to use on your web site for the promotion of Arquan e-commerce software products.
								
								Once you have installed the Arquan Partner pages and appropriate logo and link, you must notify Arquan of all places on your web site where you are promoting Arquan products and your Affiliate Partnership, and an Arquan representative will review your web site to ensure the page(s) are acceptable.  If the page(s) are not acceptable, Arquan will instruct you on how to resolve the issue to achieve compliance.
								
								
								3.	Authorization to Apply
								
								By completing the Affiliate Partner Application, you acknowledge that you are authorized to enter into this agreement on behalf of your company.  Failure to comply may result in termination of your Partnership status and forfeiture of unpaid commissions.
								
								
								4.	Customer Acquisition
								
								You earn revenue by referring customers who sign up for Arquan e-commerce hosting packages or products from your web site.  A customer signup must originate from your web site through the supplied partner link for you to get credit and earn revenue for the customer.
								
								
								5.	Promotion of Arquan Products and Your Affiliate Partnership
								
								You may promote Arquan products and your partnership from your web site, and through other means to drive traffic to your web site such as Paid Advertising on places like Google Adwords.  You may not use the Arquan name in advertising in a deceptive manner or that implies anything other your status as an Arquan Affiliate Partner.  You may not participate in illegal or objectionable activities such as spamming forums or advertising on web sites that are pornographic, racial in nature, have illegal content such as promoting terrorist activities and be considered for Arquan partnership.  Advertising or promotion on web sites of this nature will result in immediate Partnership termination and forfeiture of unpaid commissions. 
								
								In Arquan's sole discretion, we may notify you to cease and remove advertising activities that we feel are objectionable and not in Arquan's best interest or that may be damaging to the Arquan image.  You must immediately comply with the request to cease or change the marketing activity to be in compliance or your Affiliate Partnership may be terminated with possible forfeiture of unpaid commissions.
								
								The bottom line here is to use common sense, and if you have questions, please ask us.  We are more than happy to answer any question you may have in a timely manner.  Our goal is to promote a quality Company and Partnership image.
								
								
								6.	Customer Hosting
								
								E-commerce hosting customers utilizing the Company's services must comply with the Company's hosting policy published at http://www.arquan.com/hostingpolicy.htm.  Failure to comply with the Company's hosting policy may result in account suspension or termination. 
									  
								7.	Affiliate Commissions
								
								You will be paid Affiliate commissions at the rate of $100.00 USD per customer referral that signs up for a paid e-commerce hosting package.  
								
								You must maintain up to date information with Arquan so that your Partner Affiliate fees can be paid in a timely manner and without undue errors.  Affiliate Partner fees are paid within sixty (60) days after the end of each calendar month in which the Affiliate Fees were earned.
								
								You are only eligible for commission fees on qualified customer purchases.  Customer credit card charges that are declined, unpaid, or monies due are not considered for commission payment.  Commissions are also not earned or paid on fraudulent credit card charges or charge-backs by customer.  Any previously paid commissions on these charges will be withheld in future commissions.
								
								
								8.	Commission Fee Rate
								
								The current rate of Affiliate Partner commissions is $100.00 USD for all referrals signing up for a paid e-commerce hosting package.  Arquan reserves the right to change this rate with at least 30 days prior notice to the Affiliate Partner.
								
								
								9.	Term of Agreement
								
								The term of this Agreement begins upon Partnership acceptance and notification by Arquan and continues until terminated by either party.  Either party may terminate this agreement at any time.  Agreement termination must be initiated by written notice.  
								
								If for any reason, this Agreement is terminated, you must immediately cease use of all Arquan materials, content, graphics, and promotion on your web site and in any advertising.     
											   
								
								9. Affiliate Partner Relationship
								
								The relationship between Arquan and you are of independent contractors.    Neither party is considered employees of the other party or entitled to any benefits of such arrangement.  
								
								10. Liability
								USE OF ARQUAN'S SERVICES AND PRODUCTS IS AT CUSTOMER'S SOLE RISK. NEITHER ARQUAN NOR ITS EMPLOYEES, AGENTS, RESELLERS, THIRD PARTY INFORMATION PROVIDERS, MERCHANTS, LICENSERS OR THE LIKE, MAKE ANY WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, THAT ARQUAN'S SERVICES AND PRODUCTS WILL NOT BE INTERRUPTED OR BE ERROR FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MIGHT BE OBTAINED FROM THE USE OF ARQUAN'S SERVICES AND PRODUCTS OR AS TO THE ACCURACY, OR RELIABILITY OF ANY INFORMATION SERVICE OR MERCHANDISE CONTAINED OR PROVIDED THROUGH ARQUAN'S SERVICE, UNLESS OTHERWISE EXPRESSLY STATED IN THIS AGREEMENT. THIS INCLUDES LOSS OF DATA, WHETHER RESULTING FROM DELAYS, ON DELIVERIES, WRONG DELIVERY, AND ANY AND ALL SERVICE INTERRUPTIONS CAUSED BY ARQUAN AND ITS EMPLOYEES OR OTHER CAUSES.
								THE SOLE CUMULATIVE LIABILITY OF ARQUAN FOR ALL CLAIMS MADE BY THE CUSTOMER, OR ANY OTHER PARTY, REGARDLESS OF FORM, INCLUDING ANY CAUSE OF ACTION BASED ON CONTRACT, TORT OR STRICT LIABILITY, SHALL NOT EXCEED THE TOTAL AMOUNT OF ALL FEES AND CHARGES PAID TO ARQUAN BY THE CUSTOMER.
